The Sonic Boon Digital Sound Effects collections (hereinafter referred to as "Library") are owned by Sonic Science Inc. (hereinafter referred to as "SSI") and are protected by Canadian copyright laws and international treaty provisions. You must treat the recordings and printed materials like any other copyrighted material. Unauthorized duplication of the recordings or materials is a violation of applicable laws and of this agreement. By accepting, opening and using the Library, you consent and agree to the following additional terms and conditions:

The Library is licensed by SSI to you in perpetuity, provided that you have paid the license fee. Your use of this work is restricted to the synchronization (and duplication for purposes of allowing synchronization) of recordings therefrom in timed relation with audio-only, or audio-visual presentations, soundtracks, commercials or displays for you or for your clients, at a single facility. You will not authorize anyone to copy any or all of the work, or the written materials accompanying the work, except insofar as necessary to synchronize the work as described above. You may not sell, rent, or lease the recordings, but you may transfer the recordings and accompanying written materials on a permanent basis provided that you retain no copies and the recipient agrees in writing, for the direct benefit of SSI, to the terms of this agreement. If you do not accept the terms of this license agreement, you must return the Library and all accompanying materials immediately, before any use.

This Agreement shall be construed in accordance with the laws of the Province of Ontario applicable to agreements executed and wholly to be performed therein and shall be binding upon and enure to the benefit of the parties' respective heirs, executors, administrators, successors and assigns, and each of the parties hereby irrevocably agree to attorn to the jurisdiction of the Supreme Court of Ontario or other applicable Ontario Provincial court.

LIMITED WARRANTY

SSI warrants to the Licensee that this product will perform substantially as advertised under normal use for ninety (90) days from the date of original license. If this product fails during this warranty period, SSI's entire liability, and the Licensee's exclusive remedy, shall be replacement of the product. If failure of the product has resulted from misuse, abuse, accident, neglect, mishandling or modification, SSI shall have no responsibility to replace the product. Any replacement will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

This warranty is made in lieu of all other warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Neither SSI nor anyone else who has been involved in the manufacture, license or delivery of this product shall be liable for any direct, indirect, incidental, special or consequential damages (including damages for loss of profits, revenue or business and the like) in any way related to the product. The foregoing language cannot be waived, modified, or supplemented in any manner whatsoever except in writing signed by officers of SSI and Licensee.
